Terms of Service.

Acceptance.

These Terms of Service (“Terms“) govern your use of the AI conversational agent (the “Agent“) powered by Studio Mate LLC (“we,” “us,” or “our”) and deployed on a third-party website or property (the “Host Site“). By interacting with the Agent, you accept these Terms. If you do not accept, do not use the Agent.

Eligibility.

You must be at least sixteen (16) years old, or the age of digital consent in your jurisdiction, to use the Agent. If you are under that age, do not interact with the Agent.

Description of Service.

The Agent is an AI-powered conversational assistant designed to provide information, answer questions, and assist with inquiries on behalf of the Host Site. The Agent’s responses are generated by artificial intelligence and may not always be accurate or complete. The Agent is not a substitute for professional advice, including but not limited to architectural, engineering, structural, financial, tax, legal, medical, or fitness advice.

Recording and Logging.

Conversations with the Agent — across chat, text, voice (phone), and the on-site avatar — are recorded, transcribed, stored, and analyzed by Studio Máté and the Host Site for the purposes described in our Privacy Policy. By interacting with the Agent, you consent to this recording and processing.

Acceptable Use.

You will not:

• Use the Agent for any unlawful purpose;
• Attempt to reverse-engineer, extract, or copy the Agent’s underlying prompts, models, or training data;
• Submit content that is defamatory, harassing, infringing, or otherwise unlawful;
• Use the Agent to harvest information about other persons;
• Interfere with the operation of the Agent, including via automated tools, scraping, or denial-of-service attempts;
• Misrepresent your identity or affiliation.

Intellectual Property.

The Agent, its underlying software, the Provider Platform, conversation transcripts (in their structured form), and all derivative analytical outputs are the property of studio-Máté.ai or its licensors. No license is granted to you except the limited, revocable, non-transferable right to interact with the Agent for personal informational purposes.

Disclaimer.

THE AGENT IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. INFORMATION PROVIDED BY THE AGENT MAY BE INCORRECT, INCOMPLETE, OR OUTDATED. DO NOT RELY ON THE AGENT FOR PROFESSIONAL DECISIONS WITHOUT INDEPENDENT VERIFICATION.

Limitation of Liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STUDIO-MÁTÉ.AI, THE HOST SITE, OR THEIR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE AGENT. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE AGENT IS LIMITED TO USD $100.

Indemnification.

You agree to indemnify and hold harmless studio-Máté.ai, the Host Site, and their affiliates from any claim, liability, or expense (including reasonable attorneys’ fees) arising from your breach of these Terms or your misuse of the Agent.

Changes.

We may update these Terms at any time. Material changes will be reflected by updating the “Last Updated” date. Continued use of the Agent after changes constitutes acceptance.

Governing Law.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida, except where mandatory consumer protection law of your jurisdiction requires otherwise.
